1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of ChaseBot (the "Service") operated by nocodetalks ("we", "us", "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

ChaseBot is a software service that helps businesses send automated email and SMS reminders for overdue invoices, including integration with Xero and Gmail. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

3. Account Registration and Security

You must provide accurate and complete information when registering and keep your account details up to date. You are responsible for maintaining the confidentiality of your password and for all activity under your account. You must notify us promptly of any unauthorised use. We are not liable for losses arising from unauthorised use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or third-party rights.
  • Send spam, harassing, or misleading messages, or use the Service to send reminders to individuals who have not consented to receive them where required by law.
  • Attempt to gain unauthorised access to the Service, our systems, or other users' accounts.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service (except as permitted by law).
  • Resell, sublicense, or commercially exploit the Service in a way that competes with us or bypasses normal use.
  • Use the Service in a manner that could harm, overburden, or impair our infrastructure or other users.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law.

5. Payment and Subscription

Paid plans are billed in advance (e.g. monthly) as described on our pricing page. Fees are non-refundable except where required by law or as stated in our refund policy. You may cancel your subscription at any time; access continues until the end of the current billing period, after which you may be moved to a free tier if applicable. We may change fees with reasonable notice; continued use after the change constitutes acceptance. Taxes (e.g. GST) are your responsibility where applicable.

6. Your Data and Privacy

You retain ownership of the data you provide. You grant us a licence to use, store, and process that data as necessary to provide and improve the Service and as described in our Privacy Policy. You are responsible for ensuring you have the right to share data (including customer contact details) with us and that your use of the Service complies with data protection and telecommunications laws (e.g. consent for marketing/SMS where required).

7. Intellectual Property

We (or our licensors) own all rights in the Service, including the ChaseBot name, logo, and any content we provide. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms. Feedback you provide may be used by us without obligation to you.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOU USE THE SERVICE AT YOUR OWN RISK. WE ARE NOT RESPONSIBLE FOR THE CONTENT OF REMINDERS YOU SEND OR FOR THIRD-PARTY SERVICES (E.G. XERO, GMAIL, SMS PROVIDERS).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOCODETALKS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100) IF GREATER). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnity

You agree to indemnify, defend, and hold harmless nocodetalks and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your data, your violation of these Terms, or your violation of any third-party rights or law.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access or account if you breach these Terms or for other operational or legal reasons with reasonable notice where practicable. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of Australia. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Australia. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.

13. Changes to Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or a notice in the Service. Your continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service.
